Bribery, Conflicts of interest

Bribery and corruption is prohibited.
No Actebis employee should be, or even seem to be, subject to influences, interests or relationships which conflict with the best interests of the Company.
For instance, an Actebis employee must neither give nor receive anything of value which might influence his business decision. Local regulations regarding taxation of any present obtained – irrespective of value – must be observed additionally.
Acceptance of a free meal as part of a business discussion, or other business or social amenities being the local norm, however, is not prohibited.

It is the policy of Actebis that all employees avoid any conflict between personal interests and the interests of the Company.

A conflict of interest exists when
a) |
an Actebis employee is in a position to compete with, rather than help, the Company. It also exists when an employee (or an employee’s immediate family or friend) stands to profit by a decision he or she may make on behalf of the Company.

b) |
an employee can make a business decision not on the basis of the Company’s interest but rather for his/her own personal advantage or the advantage of others e.g. his/her family or friends.
